Terms

These terms are the licence for the ClearDictate app and the terms of use for this website. They apply equally to individuals and organisations. By installing or using ClearDictate you agree to them.

1About these terms

ClearDictate is provided by Megakad XD Ltd (“we”, “us”), a company registered in England and Wales under company number 13675166, with its registered office at 71–75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom.

“You” means the person installing or using ClearDictate. If you install or deploy it for an organisation, you confirm you have authority to accept these terms for that organisation, and “you” includes the organisation.

Organisations that need their own contract terms, a supplier questionnaire or other procurement paperwork can contact [email protected].

2Your licence

We grant you a free, worldwide, non-exclusive, non-transferable licence to install and use ClearDictate on any number of Macs that you own or control. You may use it for personal or business purposes.

Organisations may deploy ClearDictate to their staff and contractors, including through mobile device management (MDM), an internal software catalogue or an internal download mirror. They may also configure it with managed settings.

ClearDictate is free. We don’t charge for the licence, updates or support.

3What you may not do

Except where the law gives you a right that can’t be excluded, you may not:

  • sell, rent, lease, sublicense or charge for ClearDictate;
  • distribute it outside your organisation, or publish it for download anywhere other than an internal channel. Point others to cleardictate.com instead;
  • modify, adapt or create derivative works of the app, or distribute modified copies;
  • decompile, disassemble or reverse engineer it. This doesn’t restrict your statutory rights, for example decompiling for interoperability under section 50B of the Copyright, Designs and Patents Act 1988;
  • remove or alter copyright, licence or attribution notices;
  • use it unlawfully, including recording or transcribing other people where the law requires their consent and you don’t have it.

4Ownership

ClearDictate, its design and the ClearDictate name are owned by us or our licensors and are licensed, not sold. Apart from the licence in section 2, these terms give you no rights in them.

5Your content

What you dictate, and the text, History and dictionary ClearDictate creates on your Mac, are yours. We don’t receive them and claim no rights in them.

You’re responsible for your content and for using ClearDictate lawfully. That includes deciding whether it is appropriate for any sensitive, confidential or regulated information you handle.

6Third-party components

ClearDictate includes, or downloads on first run, the following components. Each is provided under its own licence, and that licence governs it:

  • NVIDIA Parakeet TDT 0.6B v3 speech-recognition model, © NVIDIA, licensed under CC BY 4.0. It is used in the Core ML conversion published by FluidInference (FluidInference/parakeet-tdt-0.6b-v3-coreml). We haven’t modified the model.
  • FluidAudio and its text-processing component, © FluidInference, licensed under the Apache License 2.0.
  • KeyboardShortcuts, © Sindre Sorhus, licensed under the MIT Licence.

7Optional OpenAI features

The Cloud engine and Smart cleanup are optional and off by default. They only work with an OpenAI API key that you supply. When you use them, your audio or text goes directly from your Mac to OpenAI, under your own agreement with OpenAI. You’re responsible for that agreement, its charges, and whether the data you send is appropriate.

We don’t control OpenAI and aren’t responsible for its services. Organisations can switch these features off for everyone with a managed setting (see For IT).

8Accuracy and appropriate use

Speech recognition and cleanup can make mistakes. Check text before you rely on it or send it.

ClearDictate is not designed or tested for uses where an error could cause death, personal injury, or serious physical or environmental damage. Don’t rely on it as the sole record in clinical, legal or other regulated settings without your own review.

9Updates and support

We may release updates, change features, or stop developing ClearDictate. We aren’t obliged to provide updates or support. We aim to answer support emails within 2 working days. Versions you already have keep working under these terms.

10No warranty

ClearDictate is provided free of charge, “as is” and “as available”. To the fullest extent the law allows, we give no warranties, conditions or other terms, express or implied. That includes those of satisfactory quality, fitness for a particular purpose, accuracy and non-infringement. We don’t promise that ClearDictate will be error-free or uninterrupted.

11Our liability

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that can’t be limited or excluded under the law of England and Wales.

Business users: subject to the paragraph above, we aren’t liable, whether in contract, tort (including negligence) or otherwise, for:

  • any loss of profit, revenue, business, contracts or goodwill;
  • any loss or corruption of data;
  • any indirect or consequential loss.

Our total liability arising from ClearDictate is limited to £100.

Consumers: we aren’t responsible for loss that wasn’t foreseeable, or for business losses. If ClearDictate damages a device or other digital content belonging to you, and that happens because we didn’t use reasonable care and skill, we will repair the damage or pay you compensation. These terms don’t affect your statutory rights.

12Export and sanctions

You must comply with UK and other applicable export-control and sanctions laws. Don’t use or provide ClearDictate where they prohibit it.

13Ending the licence

You can stop using ClearDictate at any time by deleting it. If you seriously or repeatedly break these terms, your licence ends and you must delete ClearDictate. Sections 4, 5 and 10 to 15 continue after the licence ends.

14This website

You may use cleardictate.com and its documentation and sample configuration profiles to evaluate, deploy and support ClearDictate. Don’t attack, overload or try to gain unauthorised access to the site. To report a security issue, see the Security page.

15General

We may update these terms; the current version and its date are always on this page. Changes apply to versions of ClearDictate released, or used, after the change.

These terms are the whole agreement between us about ClearDictate. If a court finds part of them unenforceable, the rest still applies. If we don’t enforce a term straight away, we can still enforce it later. You may not transfer your rights under these terms; we may transfer ours to another organisation that continues ClearDictate. No one else has rights under these terms (Contracts (Rights of Third Parties) Act 1999).

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you’re a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
